Welcome to OpenFinance, a decentralized platform that provides a non-custodial wallet accessible via our mobile application and website at https://openfinance.tech/ (collectively, the "Interface"). This Interface is provided and maintained by OpenFinance.
OpenFinance is an AI-led fintech tool. The Interface and its accompanying application (the "App") provide, without limitation:
- Creation and management of non-custodial Agent Wallets;
- Automated execution, data of the trades, strategy rules, leverage, and risk parameters you configure and authorize, including perpetual futures referencing crypto assets and perpetual futures referencing equities, commodities, and indices;
- Strategy mirroring and copy trading of traders you select, and optional strategy templates, on protocols such as Hyperliquid, including perpetual futures;
- AI-generated data, analytics, automations, notifications, and developer-integrated skills (presented for your interpretation);

04Non-Custodial Nature of Service
4.1 Non-Custodial Platform and User Responsibilities
The Interface and App are non-custodial in nature. OpenFinance does not hold or control your digital assets at any time. Any digital assets that you may acquire, store, or trade through the usage of the Interface or the App are held directly on their respective blockchains, with access controlled solely by you through the private keys associated with your OpenFinance wallet. The App merely provides a user interface to interact with these blockchain-based assets. OpenFinance will not create any hosted wallet for you or otherwise custody digital assets on your behalf.
You acknowledge and agree that:
- OpenFinance does not, at any time, have custody, possession, or control of your digital assets, and all digital assets remain in your control and possession at all times;
- You are solely responsible for the retention, management, and security of your wallet credentials, which include your twelve-word recovery phrase for externally owned accounts (EOA) wallets ("Recovery Phrase") and any unique digital or hardware credentials tied to your smart contract wallets ("Passkeys"), such as iCloud or Google Passkeys, or hardware authentication devices like Yubikeys. These credentials (Recovery Phrase and/or Passkeys) are the only means through which you can access and manage the cryptocurrency associated with your OpenFinance wallet;
- OpenFinance cannot and will not access your private keys or initiate transfers of your digital assets under any circumstances;
- OpenFinance is unable to assist with digital wallet recovery or password retrieval, and you are solely responsible for maintaining access to your wallet and remembering or securely storing any passwords or recovery phrases;
- It is your sole responsibility to maintain the security of your OpenFinance wallet.
4.2 Consequences of Loss of Credentials
If you lose access to your Recovery Phrase and/or Passkeys, you will permanently lose access to the cryptocurrency stored in the OpenFinance wallet. OpenFinance does not have the ability to recover or reset these credentials on your behalf. You assume full responsibility for any consequences that arise from losing access to your wallet, including the loss of funds.
4.3 No Access or Responsibility
OpenFinance shall have no access to or control over your private keys or the digital assets associated with your OpenFinance wallet. These assets exist on their respective blockchains, and OpenFinance merely provides an interface to interact with them. You are solely responsible for securing and managing your private keys and recovery phrases. OpenFinance cannot access, recover, or reset your private keys or recovery phrases. Your use of the OpenFinance wallet is subject to these Terms of Use and our Privacy Policy. However, your interactions with any third-party services or decentralized applications through the OpenFinance interface may be subject to additional terms and policies set by those third parties.
4.4 Third-Party Services
While OpenFinance provides the wallet interface, we neither own nor control the underlying blockchain networks, dapps, or any other third-party sites, products, or services that you might access, visit, or use through our Interface or App. OpenFinance is not responsible for the operation of these blockchain networks and cannot guarantee their functionality, security, or availability. OpenFinance will not be liable for the acts or omissions of any third parties operating these networks or services, nor will we be liable for any damage that you may suffer as a result of your transactions or any other interactions with these blockchain networks or third-party services. Your use of such third-party services or interactions with blockchain networks may be subject to separate terms and conditions set by those parties or networks.
4.5 Waiver of Claims
You hereby irrevocably waive, release and discharge all claims, whether known or unknown to you, against OpenFinance, our affiliates and their respective shareholders, members, directors, officers, employees, agents and representatives related to your use of the OpenFinance wallet, associated loss of digital assets, transaction failures, or any other defects that arise in the course of your use of the Interface or the App. This includes, but is not limited to, any losses that may result from:
- Your failure to maintain the security and confidentiality of your private keys or recovery phrases;
- Any unauthorized access to your OpenFinance wallet;
- Any blockchain network failures or delays;
- Any errors or malfunctions in the Interface or App;
- Any interactions with third-party services or dapps accessed through the OpenFinance interface.
4.6 No Exchange or Management Services
Neither OpenFinance, the Interface, nor the App provides any digital asset exchange or portfolio/fund management services. If you choose to engage in transactions with other users through the Interface or the App, then such decisions and transactions and any consequences flowing therefrom are your sole responsibility.
4.7 Third-Party Wallet Creation
OpenFinance uses Privy, a third-party service provider, to facilitate the creation of email, social, and embedded wallets. A non-custodial wallet is created for you when you connect to OpenFinance using email, mobile, or any social login method.
- Access to Wallet Credentials: The private key and recovery phrase for your wallet are accessible to you through the wallet settings. You are solely responsible for securely storing and managing these credentials.
- OpenFinance's Non-Access: OpenFinance does not have access to, nor can it access, your private key or recovery phrase at any time. You acknowledge and agree that the security and management of your wallet credentials are entirely your responsibility.
4.8 Limitation of Liability
In no event shall OpenFinance, its affiliates or their respective directors or employees be responsible or liable to you or anyone else, directly or indirectly, for any damage or loss arising from or relating to any interaction or continued interaction with the Interface or the Protocol or in reliance on any information provided on the Interface (including, without limitation, directly or indirectly resulting from errors in, omissions of or alterations to any such information).
05Know Your Customer and Anti-Money Laundering Checks

Such documents may include, but are not limited to, passports, driver's licenses, utility bills, photographs of associated individuals, government identification cards or sworn statements before notaries or other equivalent professionals.
- Right to Refuse Access: Notwithstanding anything herein, OpenFinance may, in its sole discretion, refuse to provide access to the Interface to you until such requested information is provided, or in the event that, based on information available to us, you are suspected of using the Interface or the Protocol in connection with any money laundering, terrorism financing, or any other illegal activity.
- Prevention of Illegal Activities: OpenFinance shall be entitled to use any possible efforts for preventing money laundering, terrorism financing or any other illegal activity, including without limitation blocking of your access to the Interface or the Protocol, or providing your information to any regulatory authority.
By using the OpenFinance Interface, you acknowledge that you have read, understood, and agree to be bound by these terms regarding the non-custodial nature of our service and the associated responsibilities and risks.
06Third-Party Services and Content
- Integration of Third-Party Services: The Interface may incorporate, provide access to, or allow the use of third-party services, websites, or content. You acknowledge and agree that these third-party services are governed by their own terms and conditions and privacy policies. OpenFinance strongly recommends that you review these terms before utilizing any third-party services.
- No Endorsement or Responsibility: The inclusion or accessibility of any third-party service or content through the Interface does not constitute an endorsement, guarantee, or assumption of responsibility by OpenFinance for such third-party service or content. OpenFinance makes no representations or warranties regarding the accuracy, completeness, reliability, or suitability of any third-party service or content.
- No Liability: OpenFinance expressly disclaims any and all liability for any damages, losses, or any other consequences that you may incur as a result of your use of any third-party services accessed through our Interface. Your use of such services is at your own risk.
- Independence of Third-Party Services: OpenFinance does not control, and is not responsible for, the actions or omissions of any third-party service providers. Any interactions you have with such third parties are solely between you and the third party.

08Fees
- Service Fees: OpenFinance may charge fees for some or part of the Services we make available to you ("Fees").
